Have you looked in the Windows System Log to see what is happening?

Computer Management (Local)/System Tools/Event Viewer/Windows Logs/System

Might be a RAM issue for example, maybe remove one stick or swap?

ok, just set  up the identical config on another machine here and it works fine, so maybe just something in the setup of v3 that's different or just a system based problem. The other machine has 8 gb ram but this one has 4, however, not seeing any indication in the dxdiag or w7 Resource Monitor that it's a ram problem, tho it sure acts like it.
